The firm undertakes work in most aspects of Corporate Practice. It is active in advising clients in connection with the formation and restructuring of companies and corporate joint ventures. It also handles a range of general corporate work including negotiation of shareholders agreements; preparation and drafting of complex commercial contracts; compliance with corporate legislation, business laws and laws relating to foreign investments in Syria.

Our Services cover the entire spectrum of company-related activity and transactions including incorporation, joint ventures, disposals, mergers and acquisitions. A high proportion of our corporate & commercial work involves a significant international element, and we act widely both for local and international corporate clients.

  • In 2009 – 2010 we advised two international investors on the acquisition of two industrial projects in Syria; the first transaction of USD 126m is in the pharmaceutical sector in and located in Aleppo and the second transaction of USD 55m in the food industry sector located in Damascus.
  • 2010 – Drafted a number of joint venture and shareholders agreements incorporating local and international investors in the tourism and manufacturing sector
  • 2008 – 2009 drafted and advised on a shareholder agreement and subscription agreement in the microfinance sector
  • 2010 – incorporated more than 50 subsidiaries for regional and international firms and more than 15 branches of foreign companies and we continue to advise on operation of business in Syria
  • 2010 – Restructured 6 company groups including transformation of legal form as per the provisions of LD61/2007.
  • In 2009, we acted on behalf of a Chinese petrochemical company for the acquisition of the operating company in a PSA in Syria.
